These Terms and Conditions (“Terms”) govern your access to the Webstack Tool website, Windows application, memberships, support, and related services (“Webstack Tool” or the “Service”).

The Service is operated by Webstack Tool, located at webstackocean.com.

By creating an account, purchasing a membership, downloading the application, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Webstack Tool.

1. Eligibility

You must be at least 18 years old and legally capable of entering a binding contract. If you use Webstack Tool for an organisation, you confirm that you have authority to act for that organisation.

2. Description of the Service

Webstack Tool is a Windows desktop membership platform that organises access to selected SEO, AI, design, writing, research, marketing, and learning resources.

Depending on the resource, access may be provided through:

  • A resource included with your membership
  • Managed or shared access
  • An official integration
  • Your own third-party account
  • An education programme
  • A free external resource
  • A separately purchased third-party subscription

The tool listing or plan description should identify the applicable access method.

3. Shared Access

Unless a listing expressly states otherwise, access to a third-party service may be shared and does not give you:

  • Ownership of the third-party account
  • An individual subscription with that provider
  • The provider’s username or password
  • Permission to change account or security settings
  • Guaranteed storage of projects or history
  • Unlimited usage
  • Permanent availability

Shared workspaces must not be used for passwords, regulated data, confidential business records, sensitive client information, or irreplaceable files.

4. Third-Party Terms

Third-party products remain governed by their providers’ applicable terms, privacy policies, licence conditions, and acceptable-use rules.

Webstack Tool does not grant rights that the relevant provider has not granted to us or to you. If a provider’s rules prohibit a particular use, that use is not permitted through Webstack Tool.

A third-party product may be restricted, suspended, replaced, or removed if continued availability is no longer technically, contractually, or legally permissible.

5. Accounts and Security

You agree to:

  • Provide accurate and current registration information
  • Maintain the security of your Webstack account
  • Use the membership only for yourself unless an institutional plan expressly allows additional users
  • Notify us promptly of suspected unauthorized access
  • Use only the permitted number of devices
  • Complete verification checks reasonably required for security

You may not share, sell, transfer, rent, or sublicense your Webstack account.

You are responsible for activity performed through your account unless caused by a failure within our reasonable control.

6. Acceptable Use

You must use Webstack Tool only for lawful purposes and within the limits displayed for your plan.

You must not:

  • Share or resell access
  • Extract, expose, or distribute provider credentials, cookies, tokens, or sessions
  • Attempt to bypass usage, device, export, or security limits
  • Change third-party passwords, recovery details, billing details, or profiles
  • Access another member’s files, projects, searches, or information
  • Upload malware or interfere with any network or service
  • Scrape or automate a tool unless expressly permitted
  • Infringe copyright, trademark, privacy, or other rights
  • Use the Service for spam, fraud, impersonation, harassment, or illegal activity
  • Reverse-engineer or tamper with the Webstack Tool application
  • Use shared workspaces to process confidential or regulated personal data
  • Misrepresent an affiliation with Webstack Tool or a third-party provider

7. Plans and Usage Limits

Every membership may have limits relating to:

  • Registered users and devices
  • Simultaneous sessions
  • Searches, exports, downloads, or reports
  • AI credits or generated content
  • Project creation and storage
  • Daily, monthly, or fair-use consumption

Limits may differ between tools. Attempts to circumvent limits may result in temporary restriction or account suspension.

8. Pricing, Payment and Taxes

Current prices, billing periods, taxes, and included resources will be displayed before purchase.

By purchasing a membership, you authorise the stated charge through the selected payment provider. You are responsible for providing accurate billing information.

Before publishing these Terms, specify:

  • Whether prices include GST
  • Whether memberships renew automatically
  • How renewal consent is collected
  • When invoices are issued
  • Available payment methods
  • Consequences of failed payment

We may change future prices after providing appropriate notice. A price change will not retroactively alter a completed billing period.

9. Renewal and Cancellation

Your membership continues for the billing period displayed during checkout.

If automatic renewal applies, the checkout page must clearly identify:

  • That the plan renews automatically
  • The renewal frequency and price
  • How to disable renewal
  • The cancellation deadline

You may cancel through [CANCELLATION METHOD]. Cancellation normally prevents future renewal and does not automatically create a refund for a period already activated.

10. Refunds

11. Tool Availability and Changes

Third-party services may change without our control. Features can be limited, interrupted, discontinued, or temporarily unavailable because of maintenance, provider changes, usage limits, security events, or legal and contractual requirements.

We will make reasonable efforts to keep the current tool catalogue accurate and communicate material membership changes. Any replacement, credit, extension, or refund will be handled according to the plan description and Refund Policy.

Do not advertise “100% uptime,” “permanent access,” or an exact tool count unless you can substantiate those claims.

12. Support

Support covers Webstack installation, account access, billing questions, and reported availability problems. It does not include professional SEO, legal, design, business, or marketing advice unless expressly purchased as a separate service.

13. Intellectual Property

Third-party product names, logos, and trademarks belong to their respective owners. Their appearance does not imply sponsorship, endorsement, authorization, or partnership unless expressly stated.

15. User Content

You retain rights in content you create or upload, subject to the terms of the relevant third-party provider.

You are responsible for:

  • Having the right to use uploaded material
  • Keeping independent backups
  • Avoiding confidential or sensitive data in shared workspaces
  • Complying with copyright and privacy requirements
  • Reviewing AI-generated output before using or publishing it

We do not guarantee that projects, prompts, files, searches, or history stored within a shared service will remain private, persistent, or recoverable.

16. Suspension and Termination

We may restrict or suspend an account where reasonably necessary because of:

  • Non-payment
  • Account sharing
  • Abuse or excessive usage
  • Security threats
  • Fraud or unlawful conduct
  • Violation of these Terms
  • Requirements imposed by law or a third-party provider

Where appropriate, we will provide notice and an opportunity to address the issue. Serious security, fraud, or legal risks may require immediate action.

17. Disclaimers

We do not guarantee search rankings, traffic, revenue, academic results, client outcomes, or the accuracy of third-party or AI-generated output.

18. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable for indirect or consequential losses that were not reasonably foreseeable.

Our aggregate contractual liability relating to a membership will not exceed the amount paid by you for the affected membership period, except where such a limitation is prohibited by law or where liability cannot legally be excluded.

This section does not restrict mandatory consumer remedies or liability that applicable law does not permit us to limit.

19. Privacy

Our collection and use of personal information are explained in the Privacy Policy. By using the Service, you acknowledge that you have reviewed that policy.

20. Changes to These Terms

We may update these Terms to reflect changes in the Service, law, security requirements, or business operations. Material changes will be communicated through the website, application, or email.

21. Governing Law and Disputes
